This Affiliate Program Agreement (the "Agreement") is made and entered into between AI Shiksha Hub ("Company," "we," "us," or "our") and the undersigned affiliate ("Affiliate," "you," or "your").
By enrolling and participating in our Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

1. Purpose
The purpose of this Agreement is to establish the terms and conditions under which you, as an independent Affiliate, will promote our online courses and products in exchange for a commission on qualifying sales. This program utilizes both an automated platform (systeme.io) and manual tracking methods.

2. Affiliate Enrollment and Relationship
2.1. Enrollment Methods: Participation in our program is managed through two primary methods:
Systeme.io Affiliates: To participate in this tier, you must have a valid systeme.io account. Your enrollment is automatically completed when you obtain your unique affiliate link for our course offer from the systeme.io marketplace.
Manual Affiliates: For affiliates who do not wish to use the systeme.io platform, we may provide you with a unique coupon code or track sales through other pre-approved manual methods. Enrollment for this tier is subject to our approval and must be formally established with the Company.
2.2. Upon enrollment, you are granted a non-exclusive, non-transferable, and revocable license to promote our products. This Agreement does not create an employer-employee, partnership, or joint venture relationship. You are an independent contractor, solely responsible for your own taxes, expenses, and liabilities.
3. Commission Structure
3.1. Commission Rate: You will earn a 30% commission on the net sales price of our online courses purchased through your unique affiliate link or with your unique coupon code. The "net sales price" is defined as the final amount paid by the customer, excluding any taxes, transaction fees, and discounts.
3.2. Tracking:
Systeme.io Affiliates: Commissions are tracked using systeme.io’s integrated system. A cookie containing your unique affiliate ID is placed on the user's device when they click your link. If a purchase is made within the cookie duration of 30 days, the sale will be attributed to you.
Manual Affiliates: Commissions are tracked based on the use of your unique coupon code during the checkout process. We will also maintain records of sales attributed to you through any other pre-approved manual methods.
4. Tracking, Attribution, and Payouts
4.1. Tracking Methods:
Systeme.io Affiliates: Commissions are automatically tracked via the Systeme.io platform. A cookie with your unique affiliate ID is placed on the user's device when they click your link. A sale is attributed to you if a purchase is made within the cookie duration of 30 days.
Manual Affiliates: Commissions are tracked based on the use of your unique coupon code or via other verifiable, pre-approved methods. You are responsible for ensuring your assigned link or code is used correctly to receive credit for sales.
4.2. Payouts:
Payout Threshold: We will process payments once your payable commission balance reaches a minimum of ₹1,000.
Payout Schedule: Commissions are held for 7 days from the date of purchase to account for our refund and chargeback period. Once this period has passed, payments will be processed weekly.
4.3. Payment Methods:
Systeme.io Affiliates: Payments will be processed through Systeme.io's automated system, typically via PayPal. If automated payouts are not available (e.g., due to the 25 paid invoices per month limit not being met or you not having a valid PayPal account), we will process your commissions manually.
Manual Affiliates: Payments will be processed manually.
For all manual payouts, you must provide us with your correct payment details (e.g., Wise, bank transfer, or UPI). You are responsible for ensuring this information is accurate. We are not liable for any failed payments due to incorrect details provided by you.
5. Affiliate Responsibilities and Prohibited Activities
5.1. Promotional Methods: You may promote our courses through ethical and legal marketing methods, including blogs, social media, and email marketing to your own opt-in lists. All promotional content must be truthful and not misleading.
5.2. Honesty and Disclosure: You agree to fully comply with all applicable laws and regulations regarding affiliate marketing, including providing a clear and conspicuous disclosure that you are an affiliate receiving compensation for any purchases made through your links or with your coupon codes, as required by regulatory bodies such as the FTC.
5.3. Prohibited Activities: The following activities are strictly prohibited and will result in immediate termination from the program:
* Bidding on our brand name or trademarks in search engine advertising (e.g., Google Ads, Bing Ads).
* Using any form of spam or unsolicited email.
* Making false, exaggerated, or misleading claims about our products.
* Using your own affiliate link or coupon code to purchase products for yourself or for third parties.
* Engaging in any fraudulent activity to artificially inflate commissions.
6. Termination
6.1. The term of this Agreement is indefinite, beginning upon your acceptance of its terms and continuing until terminated by either party.
6.2. We reserve the right to terminate your participation at any time, for any reason, with or without notice. In the event of a breach of this Agreement, termination will be immediate. Upon termination, you forfeit any right to pending commissions, and you must immediately cease all promotional activities and remove all affiliate links, coupon codes, and promotional materials.
7. Limitation of Liability
7.1. We shall not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement.
7.2. Our aggregate liability will not exceed the total commissions paid to you under this Agreement in the six (6) months prior to the event giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless the Company, its owners, employees, and agents from any claims, damages, and expenses (including legal fees) arising from your participation in the Affiliate Program, including any breach of this Agreement or your failure to comply with applicable laws.
9. Modification of Terms
We may modify the terms of this Agreement at any time. We will notify you of any changes via a notice on our website or through the systeme.io platform for those affiliates. Your continued participation in the program after such modifications constitutes your acceptance of the new terms.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Meerut, Uttar Pradesh, India.
